1. Agreement to These Terms
These Terms of Service form a binding agreement between you and Huhman Nutrition, LLC. By visiting this website, submitting a contact form, booking a consultation, or purchasing any service from us, you accept these terms in full. If you do not accept them, please do not use the website or engage our services.
Huhman Nutrition, LLC is a consultancy that designs measured ration planning and nutrition systems for households, shared kitchens, small processors and food service teams. These terms describe the rules that apply to that relationship, including how services are booked, how payment works, what each party is responsible for, and how disputes are handled.
We recommend that you read these terms carefully and keep a copy for your records. Where a separate written agreement has been signed between you and Huhman Nutrition, LLC, that agreement controls to the extent of any conflict with these terms.
These terms are written to be read by ordinary people rather than by lawyers alone. A ration plan, like any system, works best when everyone understands the rules that govern it: what is included, what is expected, and what happens when something changes. We have therefore set out each topic in a plain heading so that a client can find the answer to a specific question quickly. If a sentence is unclear, please ask us before you commit to a booking, because we would rather resolve a misunderstanding at the start than after work has begun.
The agreement between you and the Company begins when you accept these terms, and it continues for as long as you use the website or maintain an active engagement. Acceptance can happen by submitting an enquiry, confirming a booking, paying an invoice, or simply continuing to use the website after these terms are published. No signature is required for the agreement to take effect, although a separate signed agreement may add further terms for a particular project.
2. Definitions
In these terms, the words listed below carry the following meanings. The Company, we, us and our refer to Huhman Nutrition, LLC. Client and you refer to the person or organisation using the website or engaging the services. Services refers to the consultancy offerings described on this website, including Ration Blueprint Sessions, Pantry Systems Integration, Menu Data Modeling, Kitchen Workflow Design, Measurement Coaching and Seasonal Provision Planning, together with any related materials. Deliverables refers to the documents, plans, models and reports prepared for a client. Website refers to the pages published at huhmannutrition.mom.
A session means a single scheduled period of consultancy work, whether held on site, remotely, or in a written exchange. A planning window means the period during which the Company accepts and delivers engagements for a given season, such as the autumn window described on the website. Confidential information means non-public details disclosed by one party to the other during an engagement, whether technical, commercial, personal or operational. A working day means a day other than a Saturday, Sunday or public holiday in the state where the Company operates.
Where a word is defined in these terms but appears in a quotation or in a deliverable, the definition in these terms controls unless the deliverable states otherwise. Headings are provided for convenience and do not change the meaning of the text they introduce.
3. Eligibility
You must be at least eighteen years old and legally able to enter into a binding agreement to use this website or engage the services. By using the website, you confirm that you meet this requirement. If you engage the services on behalf of a business or another person, you confirm that you have the authority to bind that business or person to these terms.
We reserve the right to decline a booking or to discontinue a service where we reasonably believe the engagement is unsuitable, where information provided is false or misleading, or where continuing would create a risk to any person or to the business.
If you use the website from a jurisdiction where the content or services do not comply with local law, you are responsible for complying with the rules that apply where you are located. We make no representation that the website or its content is appropriate or available for use in every country, and access from a territory where it would be unlawful is prohibited.
4. Our Services
The Company provides consultancy services in ration planning and nutrition systems design. A Ration Blueprint Session measures a client current food patterns against real constraints and produces a planned ration sheet. Pantry Systems Integration maps and labels storage zones and installs restock rules. Menu Data Modeling structures dishes, ingredients, yields and portion weights so that menus behave like maintainable data. Kitchen Workflow Design audits how a kitchen moves and revises stations, storage and order of operations. Measurement Coaching builds the habits of weighing, portioning and recording. Seasonal Provision Planning maps buying, preserving and rotation across the year.
The exact scope, number of sessions and deliverables for any engagement are confirmed in writing before work begins. Descriptions on the website are illustrative and do not create a promise of a specific outcome. Where a service is delivered remotely or on site, the practical arrangements are agreed in advance and may be adjusted by mutual consent.
5. Bookings and Scheduling
A booking becomes effective when it is confirmed by the Company in writing, ordinarily by email. Requests submitted through the contact form are enquiries only until confirmed. We will make reasonable efforts to offer a start date within the planning window you request, but scheduling depends on availability and on the preparation a project requires.
If you need to reschedule, please notify us as early as possible. Where a session is missed without reasonable notice, the Company may treat the session as delivered or may apply a reasonable rescheduling fee. If we need to reschedule, we will offer an alternative date at no additional charge. Session plans may be adjusted during an engagement where the findings of an earlier stage make the original plan unsuitable.
6. Fees and Payment
Fees for services are quoted in advance and confirmed in writing. Unless stated otherwise, fees are payable at the time a booking is confirmed or as set out in the confirmation. For longer engagements, a payment schedule may be agreed, with amounts due at defined stages.
Fees are exclusive of any applicable taxes unless stated otherwise. Where a payment is not made when due, the Company may suspend work until the position is resolved. We reserve the right to review and change fees for future engagements, but a change will not affect a quotation already confirmed for an agreed scope of work.
If you are dissatisfied with a delivered service, please raise the matter promptly using the contact details below. Refund decisions will take into account the work performed, the deliverables already provided, and the specific circumstances of the case. The Company aims to resolve payment matters fairly and in good faith.
7. Client Responsibilities
The quality of a ration system depends on accurate information. You agree to provide complete and truthful details about your household or kitchen, your constraints, and your goals, and to tell us promptly if those details change. You are responsible for making the practical decisions about what you buy, cook and eat, and for applying the plans we design at your own discretion.
You agree to treat our staff and any on-site arrangements with reasonable care and respect, to provide safe access where a visit has been agreed, and to comply with the terms of any separate agreement governing a specific engagement. Where a client delegates the work to another person, the client remains responsible for the accuracy of the information provided and for the use of the deliverables.
8. No Medical or Dietetic Advice
The Company provides planning and systems design services. It does not provide medical advice, diagnosis, treatment, or licensed dietetic care. Nothing on this website and nothing delivered in an engagement is a substitute for the advice of a qualified medical practitioner, registered dietitian or other licensed professional.
If you have a medical condition, an allergy, an eating disorder, a pregnancy related concern, or any other health matter, you must consult an appropriate licensed professional before acting on any plan. If you experience a medical emergency, seek immediate help from emergency services. You accept responsibility for seeking professional medical guidance where it is needed, and you agree not to rely on this website or our services in place of that guidance.
9. Information You Provide
To design a useful plan, we need information about your circumstances. You agree that the information you provide is accurate to the best of your knowledge and that you have the right to share it. If you provide information about another person, you confirm that you have their permission to do so.
We handle personal information in line with our Privacy Policy, which forms part of these terms by reference. Please read it to understand the kinds of information we collect, the reasons we collect it and the choices available to you. Do not send sensitive information through the contact form, which is intended for general enquiries.
10. Intellectual Property
The content of this website, including text, layout, design elements and code, is owned by Huhman Nutrition, LLC or used with permission, and is protected by applicable intellectual property law. You may view and print pages for your own non-commercial reference, but you may not copy, reproduce, republish or distribute the content for commercial purposes without written permission.
Deliverables prepared for a client, such as a ration sheet, pantry map or menu model, are provided for that client internal use. We retain ownership of the underlying methods, templates and know-how used to produce them, and we may reuse general techniques in other engagements without disclosing client specific information. Deliverables may not be resold or presented as another party original work.
11. Acceptable Use
You agree to use this website lawfully and respectfully. You must not attempt to gain unauthorised access to the site or its systems, introduce malicious code, interfere with normal operation, scrape content at scale, or use the site in a way that harms the Company or any other person.
You must not misrepresent your identity, submit false enquiries, or use our contact channels to send unsolicited commercial messages. Where we reasonably believe that acceptable use has been breached, we may restrict access, refuse service, and take any other step available to us under law.
12. Confidentiality
We treat the information shared during an engagement as confidential. Client specific details, including household information, storage arrangements and menu data, are used only to deliver the agreed services and are not disclosed to third parties except as described in our Privacy Policy or as required by law.
You agree to treat any non-public information about our methods, templates and pricing that you receive during an engagement as confidential, and not to disclose it to a competitor of the Company or to use it to build a competing service. This obligation continues after an engagement ends.
13. Third Party Links
This website may contain links to third party websites, tools or resources. These links are provided for convenience, and the Company does not control the content or practices of those destinations. We are not responsible for the accuracy, security or privacy practices of any third party site, and a link does not imply endorsement.
If you choose to follow a third party link, you do so at your own discretion and subject to that site terms. We encourage you to review the terms and privacy notice of any site you visit.
14. Disclaimer of Warranties
This website and the services are provided on an as available basis. To the fullest extent permitted by law, the Company disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the website will be uninterrupted, error free or free of harmful components, nor that any plan will produce a specific result.
Results depend on many factors outside our control, including how faithfully a client applies a plan, changes in circumstances, and the accuracy of the information provided. Nothing in these terms excludes or limits any warranty or right that cannot lawfully be excluded or limited.
15. Limitation of Liability
To the fullest extent permitted by law, Huhman Nutrition, LLC will not be liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost savings or loss of data, arising out of or connected with the use of this website or the services, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, the total liability of the Company for any claim arising out of or relating to these terms or the services will not exceed the total fees actually paid by you to the Company for the specific service giving rise to the claim. Some jurisdictions do not allow certain limitations, so part of this section may not apply to you. Nothing in this section limits liability that cannot be limited by law.
16. Indemnification
You agree to indemnify and hold harmless Huhman Nutrition, LLC and its personnel from any claim, loss, liability or expense, including reasonable legal fees, arising from your breach of these terms, your misuse of the website or the services, or your violation of any law or the rights of another person.
This obligation survives the end of your use of the website and the completion or termination of any engagement. We will notify you of any such claim and may participate in the defence at our own expense.
17. Termination
You may stop using the website at any time, and either party may end an engagement in accordance with the terms confirmed for that engagement. The Company may suspend or terminate access to the website, or decline to continue a service, where these terms are breached, where required by law, or where continuing would create an unreasonable risk.
On termination, any fees for work already performed remain payable, and any deliverable provided before termination remains subject to the intellectual property and confidentiality sections of these terms. Sections that by their nature should survive termination will continue in effect.
18. Governing Law
These terms are governed by the laws of the state in which Huhman Nutrition, LLC is established, without regard to conflict of law principles. The parties agree to attempt to resolve any dispute through good faith discussion before commencing formal proceedings. Where a dispute proceeds to a formal process, it will be brought in a court of competent jurisdiction in that state, unless applicable law requires otherwise.
If any provision of these terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force. Our failure to enforce a provision is not a waiver of it.
19. Changes to These Terms
We may update these Terms of Service from time to time to reflect changes in our services, our practices or the law. When we make a material change, we will update the effective date shown for these terms and, where appropriate, provide a notice on the website or by email. The version published on this page is the current version.
Your continued use of the website or the services after an update indicates that you accept the revised terms. If you do not agree with a change, you may stop using the website and, where relevant, contact us to conclude any active engagement in line with its terms.
We keep prior versions of these terms available on request so that a client can see what applied at the time an engagement began. If a change would materially reduce your rights in relation to an active engagement, we will give reasonable notice before it takes effect for that engagement, and you may end the engagement if you do not accept the change.
